Executive Employment, Severance, and Compensation

• Negotiates exit terms for departing C-suite and senior executives, covering separation pay, bonus and deferred compensation, equity acceleration, and the release and restrictive covenant provisions that accompany them.
• Represents executives in equity and compensation disputes, including fights over vesting and forfeiture, “cause” and “good reason” determinations, change-of-control acceleration, and unpaid bonus and commission.
• Drafts and negotiates employment and severance agreements before any dispute exists, including change-of-control provisions, equity award terms, non-compete and non-solicit covenants, and the protective terms that determine an executive’s leverage on the way out.
• Files and arbitrates employment claims in FINRA arbitration for registered representatives and financial advisors, carrying matters from statement of claim through final hearing and award.
• Counsels executives on how a severance negotiation interacts with post-employment restrictions, so the agreement signed on the way out does not foreclose the next role.

Fiduciary duty, officer and director, and bankruptcy litigation

• Served on the trial team for a litigation trust in a bankruptcy adversary proceeding in the Northern District of Texas, pursuing tortious interference and civil conspiracy claims arising from the sale of a senior living community, in a case where the damages record included a nine figure enterprise valuation.
• Represents bankruptcy trustees and litigation trusts in avoidance actions against former officers and directors, including fraudulent transfer claims under the Texas Uniform Fraudulent Transfer Act.

Commercial contract, fraud, and business tort

• Defended a credit union in a putative class action challenging its overdraft fee practices and obtained dismissal of the credit union from the case.
• Recovered payment for a management firm providing care to individuals with special needs after a client refused to pay for services rendered.
• Resolved intellectual property misappropriation and defamation claims brought against a specialist in securitizing sporting event revenue streams.
